Service Agreement

This Service Agreement ("Agreement") is entered into between HomeEase LLC, a Wisconsin limited liability company ("Company"), which owns and operates HomeEase.pro ("Website"), and the user of the Website ("You", "Your", or "User"). This Agreement sets forth the terms and conditions governing Your use of the Website and the services provided by the Company.
- Acceptance of Terms. By accessing and using the Website or Platform, You acknowledge and agree to be bound by the terms and conditions of this Agreement.
- Services Provided. User acknowledges and understands that: (a) the Company is a software service provider and not a real estate brokerage; (b) the Website provides a transaction management platform for real estate agents, brokers, lenders, and other real estate professionals, including milestone-driven transaction timelines, role-based task management, in-app team communication, document delivery and tracking, a broker management dashboard, and an AI-powered assistant named Homie ("Platform"); (c) the Website also assists home buyers and sellers in finding, locating, and connecting with local agents, lenders, vendors, and other real estate professionals; (d) Ease Investment Realty LLC, a Wisconsin limited liability company ("Ease Realty"), may earn certain referral commissions from connecting Users to brokers and agents related to real estate transactions submitted by the User to the Website; and (e) the Website and Company do not render legal advice or offer legal assistance whatsoever, all timelines, tasks, and transaction information are strictly guidance, and You should seek the advice of a licensed legal professional, accountant, or real estate specialist for any and all inquiries regarding Your real estate transaction.
- Fees. The Website offers both a free tier and a paid premium tier. Core features, including transaction timelines, task management, team communication, and document storage, are available at no charge. Premium features, including document delivery and tracking, Homie AI, and extended transaction history access, may be unlocked on a per-transaction basis or through a subscription, at the rates and terms posted on the Website. The Company reserves the right to amend pricing, fee structure, or move features between tiers by providing You with at least thirty (30) days' notice posted on the Website.
- Comment Policy. Users are encouraged to leave comments and feedback on the Website. The Company reserves the right to filter, moderate, and remove any comments or content submitted to the Website that, in the sole discretion of the Company, are inappropriate, offensive, vulgar, hateful, or contrary to the values of the Company. The Company also reserves the right to remove any content that contains personally identifiable information, confidential transaction details, or content that may violate the privacy or rights of any third party.
- Referral Commissions and Lender Connections. Any and all referral commissions earned in connection with a User's use of the Website are managed by Ease Investment Realty LLC, a Wisconsin limited liability company ("Ease Realty"). Ease Realty may earn referral commissions when the Website connects a buyer or seller with a real estate agent, broker, lender, or other real estate professional. The Company manages all lender relationships for the Website. Referral commissions, if any, are earned by Ease Realty and not by the User, and do not affect the cost of any services provided to the User.
- Data Collection and Privacy. Pursuant to applicable data protection laws, You are hereby notified that the Website and Company collect, process, and use certain personally identifiable information, transaction data, and communications entered into or generated through the Website for the legitimate interest of implementing, administering, and managing the Website and its services. This includes without limitation Your name, address, email address, telephone number, transaction details, documents, in-app communications, and AI-assisted interactions. Certain data may be transmitted to third-party service providers, including AI processing providers, in connection with the operation of the Website. All Personal Data is retained and used in accordance with the Company's Privacy Policy, which can be found on the Website and which User hereby acknowledges having read and understood.
- Limitations on Warranty and Damages. The Company, and its owners, employees, and independent contractors, make no warranty in connection with the Website, the Platform, or any services or guidance provided, whether written or oral, statutory, express or implied, including without limitation the warranties of title, merchantability, accuracy, completeness, or fitness for a particular purpose. To the maximum extent permitted by law, You waive any and all claims that You may now have or which may hereafter arise from any damage or injury arising out of or as a consequence of Your use of the Website or Platform, including without limitation claims arising from miscalculated deadlines, delays in the execution or closing of a real estate transaction, reliance on AI-generated content or guidance, document delivery or tracking failures, or the acts or omissions of any agent, lender, vendor, or other professional connected through the Website. The Company shall not be liable for any lost profits, lost monies, loss of data, or costs of procurement of substitute services, OR FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT, THE WEBSITE, OR ANY COMPANY SUPPLIED SERVICES.
User hereby agrees to indemnify, defend, and hold harmless the Company, its owners, officers, and directors from any liability, penalties, losses, damages, costs, expenses, attorneys' fees, causes of action, or claims caused by or resulting directly or indirectly from User's use of the Website or Platform, or any additional services rendered by any agents, lenders, vendors, or other professionals connected through the Website. - Homie Disclaimer. User acknowledges and agrees that the Website utilizes an AI-powered assistant named Homie, which is powered by the Anthropic Claude API. In connection with Homie's operation, certain transaction data, communications, and document content entered into the Website may be transmitted to Anthropic, PBC for processing. Homie's responses are not legal or professional advice and are not guaranteed to be accurate. Homie is intended to provide general guidance about real estate transactions only, and You bear all risk associated with reliance on Homie's responses. You agree to indemnify and hold the Company harmless against all claims, losses, causes of action, and expenses, including reasonable attorneys' fees, arising from Your use of Homie and the Website.
- Intellectual Property Policy. The Company owns all right, title, and interest in the Website, the Platform, and all associated intellectual property, including without limitation, ideas, concepts, techniques, authorship, trade secrets, logos, branding, trademarks, confidential information, copyrighted materials, and any AI-generated content produced by or through the Website. User retains ownership of any personal data, transaction data, and documents uploaded by User to the Website. Nothing in this Agreement transfers any intellectual property rights from User to the Company with respect to User-submitted content.
- Proprietary Methodology. User acknowledges that the Website and Platform, including without limitation the transaction management methodology, workflow structure, user experience design, AI configuration, and underlying code and architecture, constitute proprietary and confidential information of the Company. User agrees not to copy, reproduce, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, methodology, or structure of the Website or Platform. User further agrees not to use the Website or Platform as a basis for developing, designing, or operating a competing product or service. Any unauthorized use of the Company's proprietary methodology is a material breach of this Agreement and may result in immediate termination of User's access and legal action.
- Account Security. User is responsible for maintaining the confidentiality of their account credentials, including username and password, and for all activity that occurs under their account. User agrees to notify the Company immediately of any unauthorized use of their account or any other breach of security. The Company shall not be liable for any loss or damage arising from User's failure to maintain the security of their account credentials. The Company reserves the right to terminate or suspend any account that it reasonably believes has been compromised or is being used in an unauthorized manner.
- Acceptable Use of Transaction Data. User agrees to upload, share, and transmit only content and data through the Website and Platform that User is authorized to share and that does not violate the privacy, confidentiality, or legal rights of any third party. User represents and warrants that all documents, data, and content submitted to the Platform are submitted with appropriate authorization and in compliance with all applicable laws and professional obligations. The Company reserves the right to remove any content that it reasonably believes violates this provision and to terminate the account of any User who repeatedly or materially violates this provision.
- Third Party Links and Services. The Website and Platform may contain links to or integrations with third party websites, tools, and services. The Company is not responsible for the privacy practices, terms of service, or content of any third party websites or services. Access to and use of any third party websites or services is at User's own risk and is governed by the terms and policies of those third parties. The inclusion of any third party link or integration does not constitute an endorsement by the Company.
- No Legal Relationship. Nothing in this Agreement or in the use of the Website or Platform creates an attorney-client relationship, fiduciary relationship, or professional advisory relationship between the Company and User. All guidance, timelines, tasks, and AI-generated content provided through the Website or Platform are for general informational purposes only and do not constitute legal, financial, or professional advice.
- Other Provisions. The Company reserves the right to refuse, suspend, or terminate Website or Platform services to any User in the Company's sole discretion for any reason or no reason at all. User acknowledges and agrees that certain features or services on the Website or Platform may be governed by separate terms and conditions, which will be provided to User at the time of access or purchase. The Company shall determine, in its sole discretion, whether any refunds are due to a User. The Company reserves the right to modify, discontinue, or update any feature of the Website or Platform at any time, with or without notice, and shall not be liable to User or any third party for any such modification, discontinuation, or update.
- Amendments. The Company reserves the right to amend this Agreement unilaterally by providing User with written notice of any such change, which may be sent via email or posted on the Website. User's continued use of the Website or Platform following receipt of notice of any such amendment constitutes User's acceptance of the amended Agreement. If User does not agree to any amendment, User must discontinue use of the Website and Platform immediately.
- Governing Law and Venue. This Agreement is governed by the laws of the State of Wisconsin without regard to its conflict of laws principles. Any legal action or proceeding arising from or relating to this Agreement shall be brought exclusively in the state or federal courts located in Waukesha County, Wisconsin, and User hereby consents to the personal jurisdiction and venue of such courts.
- Entire Agreement. This Agreement constitutes the entire agreement between the Company and User and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
